Terms of Service
Version 1, last updated Sep 15, 2026
Nmjoy ("we", "us", "the marketplace") operates a marketplace where independent creators sell digital products to buyers in India. These terms are a contract between you and us under the Indian Contract Act 1872 and an electronic record under the Information Technology Act 2000. If you do not accept them, do not use the marketplace.
1. Definitions
"Marketplace" means the website, apps and services we operate under the Nmjoy name. "Seller" means a creator who lists products on the marketplace. "Product" means a digital product listed by a seller. "Buyer" or "you" means the person purchasing or using products or otherwise using the marketplace. "Library" means the area of your account where your purchases, and the products your live subscriptions include, are kept and can be opened. "Licence Terms" means our Licence Terms, which set out the fixed catalogue of licences a seller can attach to a product. "Refund Policy" means our Refund Policy. "Consumer" has the meaning given in the Consumer Protection Act 2019: a person who buys a product for consideration, other than for resale or a commercial purpose.
2. Who we are and acceptance of these terms
The marketplace is operated by Nmjoy. Our contact details, and the details of our Grievance Officer, are in section 27 and in our Legal Notice.
By creating an account you accept these terms. When you create it, we record the time, the version you accepted, your IP address and your browser's user agent, so that both of us can show what was agreed and when. A new version applies to you once we have told you about it and you continue to use the marketplace. Every version of these terms is kept and published, so you can always read the exact version you accepted.
3. Eligibility and accounts
You must be 18 or older to use the marketplace. We do not knowingly provide the service to anyone younger, and we may close an account if we learn that its holder is under 18. Because processing a child's personal data requires verifiable parental consent under the Digital Personal Data Protection Act 2023, and we have no way to obtain it, the marketplace is for adults only.
You are responsible for the accuracy of your account details, for keeping your sign-in credentials secure, and for activity carried out through your account. Tell us promptly at support@nmjoy.com if you believe your account has been used without your permission.
We may suspend or close an account that breaches these terms, our Content Policy, or the law. We will tell you the reason and how to contest the decision, unless we are legally prevented from doing so.
4. The marketplace and our role
Sellers list products; you purchase and download them. Sellers are independent businesses and are not our employees, agents or partners. We are not the author of the products they list and we do not review every product before it is listed.
We are the merchant of record for every sale. Your purchase contract is with us: we charge you, we issue the invoice, we account for applicable taxes, and we pay the seller their share. The product itself, and the licence you receive to use it, come from the seller under our Licence Terms.
Each seller's store page shows the store name and description. You can ask a seller about their products through the question-and-answer feature on the product page. If something goes wrong with a purchase, contact us at support@nmjoy.com.
5. Buying: prices, currency, taxes and invoices
Product pages show the price you will be charged, in Indian rupees (₹). Prices shown to you are the total price you pay: where goods and services tax (GST) applies to a purchase, it is included in the price shown or itemised at checkout before you confirm, and the invoice shows the tax charged.
A purchase is a one-off payment: we will not charge you again for a product you have already bought. A subscription, where a seller offers one for their store or for a product, is a recurring payment each month or each year for access while it is paid for. Its price is fixed when you subscribe and does not change while the subscription runs, except that a coupon you apply when subscribing lowers only the first payment, after which the full price applies. Where your payment method cannot move to the full price by itself, the subscription ends after that first period and we tell you beforehand, so you can start it again at the full price. The first period is charged when you set the subscription up on our payment provider's page; each later one is charged at its start through the payment method you authorised there, or, where that method cannot be charged automatically, by a payment you make from your subscriptions page after we remind you. You can cancel at any time from that page: no further charges are taken, and you keep access until the end of the period you have paid for. Our Refund Policy sets out renewals, failed payments and refunds for subscriptions in full.
Payment is taken by our third-party payment provider, which supports UPI, cards, net banking and wallets. We never receive or store your full card details. Your order is confirmed when your payment succeeds, and we send you a receipt by email. We issue the invoice for every purchase. If you are buying for a business registered under GST, you can add your GSTIN to your account before you buy so that it appears on the invoice; we cannot amend an invoice after it has been issued.
6. Pricing errors
Sellers set their prices and mistakes can happen. Where a product is listed at a price that is obviously wrong and that you could reasonably have recognised as a mistake, we may cancel the order and refund you in full. We will tell you when we do this, and you are free to buy the product again at the corrected price.
7. Refunds
Digital products are delivered to your library the moment your payment succeeds, so there is no cancellation window once delivery has happened. We refund where a product is materially not as described, where the files are corrupt or cannot be delivered, or where you were charged twice, provided you ask within 7 days of the payment. Cancelling a subscription stops future charges; it does not refund the period already paid for. Our Refund Policy explains this in full, including how to ask, how long a refund takes, and when we refund at our discretion. Your rights under the Consumer Protection Act 2019 are in addition to that policy and are not limited by it.
8. Chargebacks
If something has gone wrong with a purchase, contact us at support@nmjoy.com before asking your bank, card issuer or UPI app to reverse the payment. We resolve almost every problem faster than a dispute does. Where a payment dispute is raised without justification, for example for a product you have already downloaded and that matches its description, we may contest it with the evidence we hold and may restrict your account until the matter is resolved.
9. Licence to products
When your payment succeeds you receive a licence to the product from the seller. Every product carries one of the three licences in our Licence Terms, chosen by the seller and shown on the product page. Sellers cannot write their own licence terms, so the licence you receive is always one of those three.
Purchases stay in your library while your account is open, and you may download them for your own use under the applicable licence. We may withdraw access only where we are legally required to, for example following a successful intellectual-property complaint or a court or government order. That limits availability; it does not retroactively revoke a licence you lawfully acquired.
A subscription gives you access, not ownership. While it is paid for you may download or stream the products it covers, as the seller has set for each file, and use them under the Licence Terms. Subscription downloads are subject to the fair-use limit the Licence Terms describe. What you make with them while subscribed stays licensed after the subscription ends; after it ends you can no longer download them, stream them or start anything new with them. To own a product outright, buy it.
10. Your content and conduct
You keep ownership of reviews, questions, answers and anything else you post. You grant us a non-exclusive, worldwide, royalty-free licence to host, display and distribute it in order to operate and promote the marketplace, for as long as you keep it posted. Only verified buyers of a product may review it.
Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021 requires us to tell you what you must not host, display, upload, publish or share. When using the marketplace you must not:
- do anything unlawful, or use the marketplace to facilitate unlawful activity;
- post or distribute content that belongs to another person and to which you have no right, or that infringes any patent, trademark, copyright or other proprietary right;
- post content that is obscene, pornographic, paedophilic, invasive of another's privacy including bodily privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, or that encourages money laundering or gambling;
- post content that is harmful to children;
- upload or distribute malware or any code intended to damage, disrupt or gain unauthorised access to any system;
- deceive or mislead anyone about the origin of a message, impersonate any person or organisation, or knowingly post misinformation;
- post content that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order, or that incites the commission of an offence;
- harass, threaten or abuse any person;
- send spam or unsolicited commercial messages through the marketplace;
- scrape, crawl or bulk-download the marketplace or its content other than through features we provide for that purpose;
- circumvent or attempt to circumvent any security, access control, download limit or licence restriction;
- resell, rent or share access to your account or to products you have purchased; or
- interfere with the operation of the marketplace or with any other user's use of it.
We may remove content that breaches these terms, and we will tell you why unless the law prevents us. If you do not comply with these terms, our Content Policy or the law, we may immediately terminate your access and remove the non-compliant content.
11. Reporting content and grievances
Anyone can report a listing, review, question or answer using the report form on the marketplace, or by writing to our Grievance Officer at grievance@nmjoy.com. A report should identify the content, explain why you believe it is unlawful or breaches our policies, and give us a way to contact you.
Our Grievance Officer is Nmjoy Grievance Officer (grievance@nmjoy.com). We acknowledge every complaint within 24 hours and resolve it within 15 days of receipt, as rule 3(2) of the IT Rules 2021 requires for resolution. Where a complaint concerns content that shows a person in a state of nudity or sexual act, or is an impersonation in electronic form including artificially morphed images, we remove or disable access to it within 24 hours of receiving a complaint from that person or someone acting on their behalf. Where we receive a court order or a lawful notice from a government agency, we act on it within the time the law sets.
We assess every report and may remove content, delist a product, or suspend a store. We record the reason for each decision and tell the affected person what we did and why, so they can contest it. If you made the report, we tell you the outcome. Anyone who disagrees with a decision can ask us to review it by replying to our notice.
Intellectual-property complaints are handled under our Copyright & IP Policy and should be sent to copyright@nmjoy.com. Where someone repeatedly submits reports that are obviously unfounded, we may stop processing their reports after warning them.
12. Our intellectual property and marks
The marketplace, including its design, software, text and graphics, and the Nmjoy name and logos, belong to us or our licensors. Except for the licences expressly granted in these terms and the Licence Terms, nothing gives you any right to use them. Products belong to the sellers who list them.
13. Third-party services and their terms
Payments are processed by a third-party payment provider, whose terms and privacy policy also apply to your payment and are presented to you when you pay. If you choose to sign in with Google, Google's terms and privacy policy also apply. We are not responsible for services we do not operate, but we choose our providers with care and will help you if a problem with one of them affects your purchase.
14. Availability and changes to the service
We aim to keep the marketplace available but cannot guarantee uninterrupted service. We may change, suspend or discontinue features. Where a change materially reduces something you have already paid for, we will tell you and, where appropriate, refund you.
15. Warranty disclaimer
So far as the law allows, the marketplace is provided as it stands and as available. We do not promise that it will be error-free or uninterrupted, or that any product will meet your requirements beyond what the seller states on the product page. Nothing in this section limits the rights you have as a consumer under the Consumer Protection Act 2019, including your right to a product that matches its description, or the remedies described in our Refund Policy.
16. Limitation of liability
Nothing in these terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, for fraud, or for your rights as a consumer that the law does not allow to be excluded.
Subject to that, and so far as the law allows: we are not liable for indirect or consequential loss, lost profit, lost business, or lost data; and our total liability in connection with any product is limited to the amount you paid for it.
Sellers are independent businesses. Where a dispute concerns the product itself, we will help resolve it, and our obligations under the Refund Policy still apply.
17. Indemnity by you
If you are not a consumer, you will compensate us for losses and reasonable costs we suffer because of your breach of these terms or because of content you post on the marketplace. If you are a consumer, this section applies only to the extent the law permits, and only for losses that are a direct result of your breach.
18. Complaints and disputes
If you have a complaint, contact us at support@nmjoy.com first and we will try to resolve it with you. If you are not satisfied, escalate it to our Grievance Officer at grievance@nmjoy.com; we acknowledge within 24 hours and resolve within 15 days of receipt. Nothing in these terms removes your right to approach a Consumer Commission under the Consumer Protection Act 2019, the National Consumer Helpline, or any other body the law makes available to you.
19. Termination
You may close your account at any time from your account settings or by contacting us. We may end this agreement on reasonable notice, or immediately where you have materially breached it or where the law requires. Licences already granted under the Licence Terms, sections 12, 15, 16, 17, 18, 24, 25 and 26, and any payment obligations survive termination.
20. Changes to these terms
We may publish a new version of these terms. Where a change is material we will notify account holders before it takes effect and give you the chance to close your account instead. Continuing to use the marketplace after that date means you accept the new version. Every version is kept and published, so you can see exactly what you agreed to and when. At least once a year we remind account holders of these terms and of the consequences of not complying with them, as the IT Rules 2021 require.
21. Entire agreement, severability and waiver
These terms, together with the Licence Terms, the Refund Policy, the Privacy Policy, the Cookie Policy and the Content Policy, are the whole agreement between you and us about the marketplace. If any part of these terms is found to be invalid, the rest continues to apply. If we do not enforce a right immediately, we have not given it up.
22. Assignment
You may not transfer this agreement to anyone else. We may transfer it to a successor of our business, provided your rights under it are not reduced; we will tell you if we do.
23. Force majeure
Neither of us is responsible for a failure to perform that is caused by events outside our reasonable control, provided we take reasonable steps to limit the effect.
24. Notices and electronic communications
We will send notices to the email address on your account, and you agree to receive them electronically, including receipts and invoices. You may send us notices at the addresses in section 27. Keep your email address up to date.
25. Lawful use and sanctions
We may refuse to provide the service, or to complete a purchase, where the law requires us to. The marketplace is offered to people in India; we may decline orders that we reasonably believe are placed from elsewhere or that would be unlawful for us to fulfil.
26. Governing law and jurisdiction
This agreement is governed by the laws of India. Subject to your right as a consumer to approach a Consumer Commission, the competent courts in India have exclusive jurisdiction over any dispute arising from it.
